If you're unsure whether a use case is allowed, assume it's not allowed until you've reviewed the relevant sections below.
1. Introduction and Acceptance
1.1 Who we are
These Terms of Service (the "Terms") govern your access to and use of the Power Pals AI assistant application and related services (the "Service") made available via our website and mobile applications.
The Service is operated by Power Pals Ltd ("Power Pals", "we", "us", "our").
1.2 What these Terms do
These Terms form a legally binding agreement between:
- you (the individual using the Service, "you", "your"), and
- Power Pals Ltd.
They set out the rules for using the Service, together with other documents expressly incorporated by reference (as described below).
1.3 Acceptance and how the contract is formed
You accept these Terms, and a contract is formed, when you:
- create an account; and/or
- click to accept or otherwise indicate agreement to these Terms (for example, during sign-up, checkout, or in-app prompts); and/or
- access or use the Service.
If you do not agree to these Terms, you must not access or use the Service.
1.4 Business users and authority to bind an organisation

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case:
- "you" and "your" refer to that entity; and
- you are responsible for ensuring that all individuals who access the Service under your account comply with these Terms.
1.5 Relationship with our Privacy Policy
Your use of the Service is also subject to our Privacy Policy, which explains how we process personal data. The Privacy Policy forms part of the overall terms governing your use of the Service.
If there is a conflict between these Terms and the Privacy Policy regarding privacy and personal data processing matters, the Privacy Policy will apply to that extent.

The Service is not intended for children under 16.
3.2 Using the Service for a Business (Business-User Carve-Out)

Where you are a business user, you are responsible for your organisation's use of the Service, including use by employees, contractors, and other authorised users.
3.3 Account Registration and Information Accuracy
To access and use certain features of the Service, you may need to create an account. You agree to:

- keep your login credentials secure and not share them with others; and
- promptly notify us if you believe your account has been compromised or accessed without authorisation.
To the maximum extent permitted by applicable law, we are not responsible for losses resulting from unauthorised use of your account where you have failed to maintain appropriate account security.
4. Description of the Service
4.1 Overview
The Service is the Power Pals AI assistant application made available by Power Pals Ltd via web and mobile interfaces. The Service is designed to help users perform tasks, create or edit content, and streamline workflows using AI-assisted functionality.
4.2 AI assistant functionality
The Service provides AI-assisted features which may include generating, summarising, transforming, or otherwise responding to user requests. The Service may orchestrate outputs using one or more third-party AI model providers. You acknowledge that the Service involves automated processing to generate outputs and recommendations in response to your inputs and instructions.
4.3 Human-in-the-loop design
The Service is human-in-the-loop by default. This means the Service is intended to assist and advise, and users are expected to review, verify, and decide whether and how to use any outputs.
The Service is not designed to operate as a fully autonomous system making decisions that produce legal effects or similarly significant effects for you.
4.4 Access methods (web and mobile)
You may access the Service through:
- the Power Pals website/web application; and/or
- the Power Pals mobile application (where made available).
Features and functionality may differ between web and mobile depending on technical constraints, device capabilities, security requirements, and product iteration.
4.5 Availability and changes to the Service
We aim to make the Service available reliably, but availability is not guaranteed. From time to time, the Service (or any part of it) may be unavailable, interrupted, or limited due to maintenance, updates, capacity constraints, security measures, or technical issues.
We may modify, update, suspend, withdraw, or discontinue any feature or part of the Service, including introducing new features or changing existing functionality, to maintain or improve performance, security, and user experience.
4.6 Limited-Risk AI system positioning
Power Pals operates the Service as an AI system provider and the Service is positioned as a limited-risk AI system. The Service is intended to support user-initiated tasks with appropriate user oversight, rather than to be deployed for high-risk use cases or fully automated decision-making.
4.7 Business-user carve-out (scope note)
Where you access or use the Service on behalf of a business, certain features, configurations, or use patterns may be available in a business context. However, the Service remains intended to operate with meaningful user oversight and consistent with the restrictions and limitations set out in these Terms.
5. Subscriptions, Fees and Payment
5.1 Free Tiers and Paid Plans
The Service may be made available on a free basis (including limited-feature or limited-usage tiers) and/or on a paid subscription basis. The features, limits, and availability of any free tier or trial may change from time to time, including being withdrawn, replaced, or made subject to additional conditions.
Paid subscriptions may include monthly and/or annual billing options (as made available through the Service). Certain plans or features may be offered only to Business Users.
5.2 Pricing, Plan Details and What You See at Checkout
Prices, plan features, and billing frequency will be displayed to you before you subscribe. If you proceed with a paid subscription, you authorise us (or our payment processing provider) to charge the applicable fees using your selected payment method in accordance with the plan you choose.
If there is a conflict between a price displayed within the Service at checkout and a price elsewhere, the checkout price presented to you at the time you place your order will apply to that order.
5.3 Billing Cycle and Automatic Renewal
Unless stated otherwise at checkout, paid subscriptions are billed in advance on a recurring basis corresponding to your selected billing cycle (e.g., monthly or annually).
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise us (and our payment processing provider) to charge the renewal subscription fee (and applicable taxes) using your payment method on file for each renewal period, unless and until you cancel.
5.4 Invoicing (Business Users)
For Business Users, we may offer invoicing and payment by bank transfer or other payment methods, subject to any eligibility criteria we set. If invoicing is provided, invoices are payable within the payment terms stated on the invoice. We may suspend or restrict access to the Service if invoices are overdue.
5.5 Taxes
Prices may be stated inclusive or exclusive of taxes depending on what is presented at checkout. You are responsible for any applicable taxes associated with your purchase of the Service, except where we are required to collect taxes. Where required, we (or our payment processor) will collect and remit applicable taxes based on the information you provide (such as billing address).
Business Users are responsible for ensuring that any tax information they provide (including VAT details, where applicable) is accurate and up to date.
5.6 Changes to Fees
We may change subscription fees, introduce new fees, or modify pricing structures from time to time. If a change affects an existing paid subscription, we will provide notice through the Service or by other reasonable means before the change takes effect. Unless otherwise stated, fee changes apply at the start of your next renewal period.
5.7 Non-Payment, Failed Payments and Consequences
If a payment is declined, cannot be processed, or becomes overdue (including any invoiced amounts for Business Users), we may, subject to applicable law:
- retry charging your payment method;
- suspend, downgrade, or restrict access to paid features until payment is received;
- terminate your subscription for non-payment; and/or
- charge reasonable costs of collection where permitted and proportionate.
You remain responsible for all charges incurred up to the date of cancellation, termination, or suspension, and for any outstanding amounts.
5.8 Cancellation
You may cancel a paid subscription at any time through your account settings (if available) or by any other method we make available within the Service. Cancellation takes effect at the end of your then-current billing period unless we state otherwise at the time of cancellation.
5.9 Refunds
Refunds (if any) will be handled in accordance with what is presented to you at the time of purchase and any non-excludable rights you may have under applicable law.
6. Consumer Right of Withdrawal (EU Users)
6.1 When this right applies
If you are a consumer residing in the EU (including Ireland), you may have a statutory right to withdraw from certain paid purchases of the Service within 14 days (the "Withdrawal Period"), in line with applicable EU consumer protection law.
6.2 Effect of withdrawal
If you validly withdraw within the Withdrawal Period, we will reimburse the relevant fees you paid for the purchase you withdrew from, subject to any deductions permitted by law (for example, where you requested the Service to begin during the Withdrawal Period and the law allows us to charge for the portion provided before withdrawal).
Reimbursements will be made using the same payment method you used for the transaction, unless we agree otherwise.
6.3 Digital services and early performance
The Service is a digital service. If you purchase a paid subscription or other paid access and you request (or otherwise enable) immediate access to the Service during the Withdrawal Period, you acknowledge that performance of the digital service may begin immediately.
6.4 Acknowledgement and (where applicable) loss of the right to withdraw
Where applicable under EU consumer protection law, if you request or consent to immediate access to the Service during the Withdrawal Period, you acknowledge that you may lose your right of withdrawal once performance has begun.
6.5 How to exercise your right of withdrawal
To exercise your right of withdrawal, you must notify us of your decision to withdraw within the Withdrawal Period by a clear statement (for example, by email). You should include enough information for us to identify your account and the relevant purchase (such as the email address used for your account and the subscription or plan purchased).
6.6 Business users
This Section 6 applies to consumers only. Business users do not have EU consumer withdrawal rights under this section.
7. Licence Grant
7.1 Licence to access and use the Service
Subject to your continued compliance with these Terms (including any restrictions and acceptable use requirements elsewhere in these Terms), Power Pals Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purposes.
This licence is provided for your personal use as a consumer, or for your internal business purposes where you are a Business User (as addressed in the business-user carve-outs in these Terms), and in each case only in the manner permitted by these Terms.
7.2 No transfer; no sublicensing
You must not:
- assign, transfer, sell, lease, rent, lend, or otherwise make available your rights to access or use the Service to any other person; or
- sublicense the Service or permit any third party to access or use the Service through your account,
unless Power Pals expressly agrees otherwise in writing.
7.3 Revocable nature of licence
This licence is revocable, meaning Power Pals may withdraw, suspend, or restrict the licence (in whole or in part) where permitted by these Terms, including where you do not comply with these Terms.
7.4 Reservation of rights
All rights not expressly granted to you in this Section 7 are reserved by Power Pals. No licence or other right is granted to you by implication, estoppel, or otherwise.
7.5 Access method; compatibility
Your ability to access and use the Service may depend on compatible devices, operating systems, internet connectivity, and other technical requirements. You are responsible for ensuring you have the necessary equipment and connectivity to access the Service.
8. AI Functionality and Important Disclaimers
8.1 AI-generated outputs are probabilistic and may be inaccurate
The Service includes AI-driven features that generate outputs (including text, suggestions, summaries, drafts, and other content) based on the information you provide and the context available to the Service.
You acknowledge and agree that:
- AI outputs are probabilistic in nature and may be incorrect, incomplete, misleading, or inappropriate.
- AI outputs may not reflect current facts, your full context, or your intended meaning.
- You are responsible for how you use any AI output generated by the Service.
8.2 No professional advice
The Service is provided for general assistance purposes only. AI outputs are not professional advice and must not be treated as such.
Without limiting the above, AI outputs are not a substitute for advice from a qualified professional, including (without limitation) legal, financial, or medical advice.
8.3 You must verify outputs; you remain responsible
You are solely responsible for:
- Reviewing and verifying AI outputs before relying on them or acting on them;
- Ensuring any actions you take (including any messages you send, content you publish, or decisions you make) comply with applicable laws and your own internal policies and requirements; and
- Ensuring that any content you choose to use from the Service is suitable for your purposes.
If the Service enables drafting, editing, or composing content (including emails), you remain responsible for the final content and for any consequences of sending, publishing, or otherwise using that content.
8.4 Human-in-the-loop by default; no automated decisions with legal or similarly significant effects
The Service is designed as an assistive tool with human oversight ("human-in-the-loop") by default.
You acknowledge and agree that:
- The Service is not intended to make decisions that produce legal effects concerning you or that similarly significantly affect you, without meaningful human involvement.
- You must not use the Service as a basis for fully automated decision-making that produces legal or similarly significant effects.
8.5 No warranties regarding AI outputs
To the maximum extent permitted by applicable law, Power Pals makes no warranties that AI outputs will be:
- Accurate, complete, or error-free;
- Fit for any particular purpose;
- Suitable for any specific use case; or
- Free from hallucinations, bias, or other limitations inherent to AI systems.
Your use of AI outputs is at your own risk, and you should use appropriate judgment and safeguards when using the Service.
9. Prohibited and High-Risk Uses
You must not use (or attempt to use) the Service in any way that is unlawful, unsafe, misleading, or inconsistent with these Terms. Without limiting the generality of the foregoing, the following uses are strictly prohibited.
9.1 Prohibited high-risk / regulated use cases (EU AI Act alignment)
You must not use the Service (including any configuration, workflow, or connection you create within it) for any purpose that falls within, or is intended to fall within, high-risk AI use cases (including those described in Annex III of the EU AI Act), or any similarly regulated high-risk category under applicable law. This includes, in particular, use of the Service in connection with:
- Employment and worker management decisions (including recruitment, screening, selection, performance evaluation, promotion, termination, or allocation of tasks or opportunities).
- Creditworthiness, credit scoring, lending, or other financial eligibility decisions (including access to credit or other financial services).
- Insurance eligibility or underwriting decisions.
- Law enforcement, criminal justice, or public authority decision-making or support.
- Biometric categorisation or identification (including any use involving biometric data or biometric-based classification).
- Safety-critical infrastructure or other safety-critical environments where errors could cause harm.
9.2 No fully automated legal or similarly significant decision-making
You must not use the Service to make, support, or implement fully automated decisions that produce legal effects or other similarly significant effects for an individual (including decisions about a person's employment, access to credit, insurance eligibility, or access to essential services), particularly where there is no meaningful human review.
For clarity, you must not configure the Service so that it:
- operates as the sole decision-maker for such outcomes; or
- triggers actions that determine such outcomes without meaningful human oversight and accountability.
9.3 No unlawful or harmful deployment
You must not use the Service:
- for any unlawful purpose or in violation of applicable laws or regulations;
- to facilitate, promote, or enable harmful, discriminatory, or abusive outcomes; or
- in a manner that infringes the rights of others.
9.4 No circumvention of safeguards; no removal of required controls
You must not:
- circumvent, disable, or attempt to bypass safeguards, controls, or restrictions within the Service; or
- use the Service in a way that intentionally defeats restrictions designed to prevent prohibited or high-risk uses.
9.5 Consequences of breach
If we reasonably believe you have used (or attempted to use) the Service in a prohibited or high-risk manner (including any use described in this Section 9), we may take one or more actions, including:
- suspending or restricting your access to the Service; and/or
- terminating your account in accordance with these Terms.
10. Acceptable Use and Platform Integrity
You must use the Service in a lawful, respectful, and secure manner and in a way that does not compromise the integrity, performance, or security of the Service (including the Power Pals application (web and mobile), related systems, and any connected integrations).
10.1 General obligation to protect the Service
You must not (and must not attempt to) interfere with, disrupt, degrade, overload, or otherwise harm the Service, including by introducing harmful code, attempting to bypass safeguards, or engaging in activity that could impair availability, reliability, or security.
10.2 No reverse engineering, model extraction, or circumvention
Except to the extent such restrictions are prohibited by applicable law, you must not (and must not attempt to), directly or indirectly:
- reverse engineer, decompile, disassemble, or otherwise seek to derive the source code, underlying structure, ideas, or algorithms of the Service;
- perform, facilitate, or attempt model extraction, including extracting prompts, outputs, weights, parameters, or other information intended to replicate or approximate the Service's behaviour or performance;
- circumvent, disable, remove, or bypass any technical limitations, security measures, access controls, safety measures, or other protections within the Service.
10.3 No scraping, harvesting, or automated data collection
You must not (and must not attempt to):
- scrape, crawl, spider, or harvest data from the Service by automated or programmatic means;
- use the Service to build or enrich datasets in a manner that is inconsistent with the intended use of the Service or that undermines the Service's integrity, confidentiality, or security;
- use any automated means to access the Service in a way that materially exceeds typical human usage patterns or that imposes an unreasonable load on the Service.
10.4 No unauthorised benchmarking or performance testing
You must not conduct, publish, or disclose any benchmarking, comparative testing, stress testing, or performance evaluation of the Service without our prior written consent, including where the purpose (or reasonably foreseeable effect) is to:
- evaluate the Service for competitive replication;
- create or support a competing product or service; or
- publicise comparative results that could be misleading or that do not reflect the Service's intended use conditions.
10.5 Misuse of integrations (including Google and Microsoft integrations)
If you connect third-party services or integrations (including Google services and Microsoft services) to the Service, you must:
- use those integrations only in accordance with these Terms and the applicable third-party terms and policies;
- maintain the security of your credentials, tokens, keys, and authorisations (including OAuth2 authorisations) and not share them with unauthorised parties;
- not attempt to expand, escalate, or bypass permission scopes or access controls, including attempting to obtain or use access beyond the minimum permissions granted;

10.6 Security and responsible use
You must not:
- probe, scan, or test the vulnerability of the Service, or breach or attempt to breach any security or authentication measures;
- access, attempt to access, or use any part of the Service that you are not authorised to access;
- impersonate any person or entity, or otherwise misrepresent your identity or affiliation when using the Service.
10.7 Enforcement and consequences
If we reasonably believe you have breached this Section 10 (or attempted to do so), we may take steps we consider appropriate to protect the Service and other users, including:
- limiting functionality;
- suspending your access to the Service; or
- terminating your account in accordance with these Terms.
We may also take any other action permitted by law where necessary to protect the security, integrity, or availability of the Service.
11. User Content and Intellectual Property
11.1 Your Inputs
- Ownership. As between you and Power Pals, you retain any rights you have in the content, information, files, instructions, prompts, messages, emails, contact details, and other materials that you submit to, upload to, connect to, or otherwise make available through the Service (your "Inputs").
- Permission to operate the Service. You grant Power Pals a limited, non-exclusive, worldwide, royalty-free licence to use, host, copy, transmit, display, and process your Inputs only to the extent necessary to:
- provide and operate the Service for you;

- Your rights to use Outputs. Subject to your compliance with these Terms, Power Pals grants you a non-exclusive right to use the Outputs generated for you for your lawful purposes.
- No guarantee of uniqueness. Due to the nature of AI systems, Outputs may be similar to content generated for other users. Power Pals does not guarantee that any Output will be unique or original.
11.3 Power Pals Intellectual Property

11.5 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you agree that Power Pals may use that Feedback without restriction or compensation, including to improve the Service, provided that doing so does not require Power Pals to use your Inputs or Outputs to train AI models.
12. Third-Party Services and Integrations
12.1 Third-Party Services
The Service may enable you to connect or interact with third-party services, platforms, or integrations ("Third-Party Services"). Third-Party Services are not operated by Power Pals Ltd and may be subject to separate terms, policies, and technical requirements set by the relevant third party.
12.2 Your Relationship With Third Parties; Their Terms Apply
When you use Third-Party Services in connection with the Service, your use of those Third-Party Services is governed by the applicable third-party terms and policies (including privacy and acceptable use terms) between you and the relevant third party. You are responsible for reviewing and complying with those terms.
12.3 Google APIs and Google Account Connections (Including Gmail and Contacts)
If you choose to connect a Google account, the Service may request permissions (OAuth scopes) to enable Gmail and Google Contacts functionality within the Service. Based on your configuration and the permissions you grant, the Service may access and process Gmail and/or Contacts data to provide the user-requested features.
You acknowledge and agree that:
- any access to Google data occurs only after you authenticate and grant the relevant permissions via Google's OAuth process; and
- you can revoke the Service's access to your Google account at any time using your Google account settings.
12.3A Microsoft Entra ID, Microsoft Graph, and Outlook Connections
Power Pals uses Microsoft Entra ID (via MSAL and OAuth 2.0 / OpenID Connect) to authenticate users. If you choose to connect Microsoft 365 Outlook, the Service may request Microsoft Graph API permissions to enable Outlook email, calendar, contacts, and task functionality within the Service. Based on your configuration and the permissions you grant, the Service may access and process Microsoft 365 data to provide the user-requested features.
You acknowledge and agree that:
- sign-in via Microsoft Entra ID occurs using the Microsoft identity platform - Power Pals does not handle your Microsoft password;

- for business or organisational accounts, your organisation’s Microsoft 365 administrator may also control what permissions can be granted or revoked; and
- you can revoke the Service’s access to your Microsoft account at any time via your Microsoft account settings or your organisation’s Azure/Entra admin portal.
12.4 Limited Use; No Sale or Advertising Use
Where the Service accesses Google data via Google APIs, such access is intended to support the user-requested functionality within the Service. Power Pals does not sell Google user data or use Google user data for advertising.

Third-Party Services may change, suspend, discontinue, or impose new requirements on their services, APIs, scopes, or access rules at any time. Power Pals does not control Third-Party Services and cannot guarantee their availability, performance, compatibility, or continued operation with the Service. We may modify, suspend, or discontinue any integration (in whole or in part) if required by a third party, for security reasons, or to maintain compliance.
12.6 No Responsibility for Third-Party Services
To the maximum extent permitted by applicable law:
- Power Pals is not responsible for Third-Party Services, including their content, availability, security, or practices; and
- Power Pals does not make any warranties regarding Third-Party Services.

The Service may contain links to third-party websites, apps, or services or may display third-party content. Such links or content are provided for convenience only and do not constitute endorsement by Power Pals. Your access to and use of third-party sites or services is at your own risk and subject to the third party's terms and policies.
12.8 Permissions, Minimum Access, and Your Control
You are responsible for:
- choosing whether to connect any Third-Party Service to the Service;
- selecting what permissions you grant (where applicable); and
- maintaining appropriate security over your third-party account credentials and settings.
If you do not want the Service to interact with a Third-Party Service, do not connect that Third-Party Service (or revoke permissions where previously granted).
13. Data Protection and Privacy
13.1 Privacy Policy applies
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, share, and protect personal data and how you can exercise your rights. Please read the Privacy Policy carefully as it forms part of the information we provide to you about our data practices.
13.2 Our role under GDPR
For the personal data processed in connection with providing and operating the Service, Power Pals Ltd acts as a data controller for the purposes of the GDPR. This means we determine the purposes and means of processing (for example, to create and manage accounts, operate the Service, provide AI assistant functionality, maintain security, and provide support), as described in the Privacy Policy.
13.3 Business users and business-user carve-outs
If you use the Service on behalf of a business or organisation, you are responsible for ensuring that your use of the Service (including any content you submit and any integrations you enable) complies with applicable data protection law. Any business-user carve-outs stated elsewhere in these Terms apply equally to this Section 13.
13.4 Use of processors and third parties
We use service providers ("processors") to help us provide and secure the Service (for example, hosting/infrastructure providers, AI model providers, and payment processing providers). Where we do so, we require appropriate contractual protections consistent with our GDPR obligations, as described in the Privacy Policy.
13.5 Google integrations and permissions
If you choose to connect Google services (including Gmail and Contacts) to the Service, you authorise the Service to access the relevant Google data in accordance with the permissions you grant during OAuth authorisation and as described in our Privacy Policy. You can revoke that access through your Google account settings and/or by disconnecting the integration, subject to any technical limitations described in the Privacy Policy.
13.5A Microsoft integrations and permissions (Entra ID and Microsoft Graph)
Power Pals uses Microsoft Entra ID for user authentication. If you choose to connect Microsoft 365 Outlook to the Service, you authorise the Service to access the relevant Microsoft 365 data (including Outlook email, calendar, contacts, and tasks) in accordance with the Microsoft Graph permissions you grant during authorisation and as described in our Privacy Policy. You can revoke that access through your Microsoft account settings and/or your organisation’s Azure/Entra admin portal, subject to any technical limitations described in the Privacy Policy.
13.6 Security and confidentiality of personal data
We take reasonable measures designed to protect personal data processed through the Service. You are responsible for maintaining the security of your account credentials and for ensuring that any devices you use to access the Service are secured.
13.7 Conflicts
If there is any inconsistency between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy will govern to the extent of that inconsistency, except where these Terms expressly set out additional user responsibilities or restrictions (for example, acceptable use obligations) that do not change our controller role as described above.
14. Suspension and Termination
14.1 Our right to suspend access
We may suspend your access to the Service (in whole or in part), with immediate effect or on notice, where we reasonably believe that:
- you have breached these Terms (including the Prohibited and High-Risk Uses and Acceptable Use obligations);
- your account, credentials, or device may have been compromised, or we detect suspected unauthorised access;
- your use of the Service poses a risk to the security, integrity, availability, or performance of the Service (including attempted circumvention of safeguards or other harmful activity);
- we are required to do so to comply with applicable law, a court order, or a request from a competent authority; or
- your subscription payment is overdue (where applicable), subject to any mandatory consumer law requirements.
Suspension may include restricting access to certain features, limiting usage, or disabling your account pending investigation or remediation.
14.2 What happens during suspension
During a suspension:
- you may temporarily lose access to the Service and/or any features we specify;
- you remain responsible for any fees owed up to the effective date of suspension (where applicable); and
- we may require you to take reasonable steps to remediate the issue (for example, resetting credentials, removing prohibited connections/configurations, or confirming compliance).
We will lift the suspension when the issue is resolved to our reasonable satisfaction, unless we terminate your account in accordance with these Terms.
14.3 Our right to terminate
We may terminate these Terms and your access to the Service (in whole or in part):
- immediately, where you commit a material breach of these Terms or engage in prohibited conduct, and (where capable of remedy) you fail to remedy within a reasonable period after we notify you; or
- immediately, where we reasonably believe termination is necessary to protect the Service, other users, or third parties, or to comply with applicable law or a competent authority request; or
- on notice, for persistent or repeated breaches, or where continued provision of the Service to you is not reasonably feasible (for example, due to sustained misuse or repeated security incidents); or
- for non-payment, where applicable, after providing any notices required by mandatory consumer law.
If we terminate, we may also disable your account and access credentials.
14.4 Your right to terminate
You may terminate these Terms at any time by stopping use of the Service and closing your account (if account closure is available within the Service) or by contacting us using the contact details provided in these Terms.
If you are on a paid subscription, termination will take effect in accordance with your subscription settings and any mandatory consumer rights that apply to you. Unless required by law, fees already paid are non-refundable.
14.5 Effects of termination
On termination (for any reason):
- your licence to access and use the Service ends immediately;
- you must stop using the Service and (where applicable) uninstall the mobile application from your devices;
- we may restrict access to your account and disable credentials; and
- we may take reasonable steps to prevent further access by you.
Termination does not affect any rights, obligations, or liabilities that accrued prior to termination.
14.6 Survival
The following provisions (and any other provisions which by their nature are intended to survive) will survive suspension or termination:
- restrictions and prohibitions governing use of the Service;
- intellectual property and ownership provisions;
- confidentiality obligations (if any) and platform integrity protections;
- disclaimers, limitations of liability, and indemnities;
- dispute resolution, governing law, and jurisdiction provisions; and
- any provisions relating to compliance with applicable law.
14.7 Business-user carve-out (additional remedies)
If you use the Service in a business capacity, we may exercise additional remedies to the extent permitted by applicable law, including:
- suspending access pending investigation without prior notice where we reasonably believe there is a compliance, security, or integrity risk; and/or
- terminating immediately for material breach, compliance risk, or misuse that could expose Power Pals to regulatory or third-party claims.
Nothing in this clause limits any mandatory rights you may have under applicable law (including where you are a consumer).
15. Warranties and Service Availability
15.1 Service provided "as is" and "as available"
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. We do not promise that the Service (or any features within it) will meet your requirements, be error-free, or be available at all times.
15.2 No guarantee of uninterrupted availability
We do not guarantee uninterrupted, continuous, or secure access to the Service. Availability may be affected by factors outside our reasonable control, including network and internet conditions, device compatibility, or third-party service dependencies.
15.3 Maintenance, updates, changes, and downtime
We may from time to time perform maintenance, deploy updates, or make changes to the Service. This may result in temporary interruptions, reduced functionality, or changes to how certain features operate. Where reasonably practicable, we will take steps to minimise disruption.
15.4 No warranties regarding performance, results, or reliability
To the maximum extent permitted by applicable law, we disclaim all warranties and conditions of any kind (whether express, implied, statutory, or otherwise), including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and availability.
Without limiting the above, we do not warrant that:
- the Service will be uninterrupted, timely, secure, or free from defects or errors;
- any content, features, or functionalities will be accurate, complete, or reliable; or
- any defects will be corrected.
15.5 Legal limitations and consumer rights preserved
Nothing in these Terms excludes or limits any rights or remedies you may have under applicable Irish or EU consumer protection law, or any liability that cannot be excluded or limited under applicable law. Where applicable law implies any term, warranty, or condition into these Terms and permits it to be limited, our liability for breach of that term, warranty, or condition is limited to the maximum extent permitted by law.
16. Limitation of Liability
16.1 Non-excludable liabilities
Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot be limited or excluded under applicable law.
16.2 Consumer protections
If you are a consumer, nothing in these Terms affects your mandatory statutory rights under Irish and EU consumer protection law. Where a limitation or exclusion in these Terms is not permitted in your circumstances, it will not apply to you to that extent.
16.3 Exclusion of indirect and consequential losses
To the maximum extent permitted by law, Power Pals will not be liable for any indirect, consequential or special losses or damages, or for loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, or business interruption, arising out of or in connection with these Terms or your use of (or inability to use) the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.
16.4 No liability for reliance on AI outputs
To the maximum extent permitted by law, Power Pals will not be liable for losses, damages, or harm arising from or in connection with your or any third party's reliance on AI-generated outputs produced by the Service.
16.5 Liability cap (12-month fee cap)
Subject to Sections 16.1 and 16.2, and to the maximum extent permitted by law, Power Pals' total aggregate liability to you arising out of or in connection with these Terms and/or the Service (whether in contract, tort (including negligence), breach of statutory duty, or otherwise) will not exceed the total fees paid by you to Power Pals for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
If you have not paid any fees to Power Pals in that twelve (12) month period (for example, because you are using a free tier), Power Pals' total aggregate liability will be limited to a nominal amount of EUR 100 (one hundred euro), subject always to Sections 16.1 and 16.2.
16.6 Business-user carve-out
If you are using the Service as a business user (including on behalf of a company or other legal entity), the exclusions and limitations in this Section 16 are agreed as a reasonable allocation of risk, and you acknowledge that the fees (if any) reflect these limitations.
17. Indemnity (Business Users)
17.1 Business User indemnity
If you are a Business User, you will indemnify, defend and hold harmless Power Pals Ltd, and our directors, officers, employees, contractors and agents, from and against any and all claims, demands, proceedings, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service, including any use by your employees, contractors, agents or authorised users under your account;
- Any breach of these Terms by you or by any person using the Service under your account;
- Your User Content, including any allegation that your User Content infringes or misappropriates any intellectual property right, confidentiality obligation, or other right of any third party;
- Your instructions, configurations, connections, workflows or deployments of the Service (including any integrations you enable) and any outcomes resulting from them;
- Your violation of applicable law (including consumer protection, data protection, employment, financial services or other regulated-sector rules) relating to your use of the Service;
- Prohibited use of the Service, including any use in a manner that these Terms prohibit (including prohibited high-risk or automated decision-making use cases);
- Any claim by a third party (including your customers, end users, staff or counterparties) arising from or relating to your products, services, representations or instructions where the Service is used in connection with them.
17.2 Indemnity process and cooperation
- We will promptly notify you (where legally and practically possible) of any claim for which we seek indemnity under this Section 17.
- You will control the defence and settlement of the claim, provided that you may not settle any claim in a manner that imposes any admission of fault or any obligation on Power Pals without our prior written consent (not to be unreasonably withheld or delayed).
- We will provide reasonable cooperation (at your expense) in the defence of the claim.
17.3 Mitigation and enforcement
Nothing in this Section 17 limits Power Pals' right to take steps we reasonably consider necessary to:
- protect the Service, our users, or third parties; or
- comply with law or regulatory requirements, including suspending or terminating access in accordance with these Terms.
17.4 Consumers: no broad indemnity; responsibility for intentional or unlawful misuse
If you are a Consumer, you do not provide the broad indemnity in Section 17.1.
However, you remain responsible for losses we suffer that are a direct result of your intentional misconduct or unlawful misuse of the Service. Nothing in these Terms limits any non-excludable rights or remedies you have under Irish or EU consumer protection law.
18. Changes to the Service and Terms
18.1 Changes to the Service
We may update, modify, add to, or remove features or functionality of the Service from time to time, including to:
- improve performance, usability, reliability, or security;
- maintain compatibility with devices, operating systems, and third-party services;
- address legal, regulatory, or compliance requirements; or
- prevent misuse or harm.
We do not promise that any particular feature, content, or functionality will always be available.
18.2 Changes to These Terms
We may update these Terms from time to time.
If we make changes, we will update the "last updated" date (or equivalent change notice) and, where the changes are material, we will take reasonable steps to notify you in advance (for example, by in-app notice, email, or a notice on our website).
18.3 When Changes Take Effect
Unless we say otherwise, updated Terms take effect on the date stated in the notice or, if no date is stated, when the updated Terms are published.
18.4 Acceptance of Updated Terms
By continuing to access or use the Service after updated Terms take effect, you agree to be bound by the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and may close your account in accordance with the account closure process described in these Terms.
18.5 No Reduction of Mandatory Consumer Rights
Nothing in this Section 18 is intended to limit any mandatory rights you may have under applicable consumer protection laws.
19. Governing Law and Jurisdiction
19.1 Governing law
These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by the laws of Ireland.
19.2 Jurisdiction (business users)
If you are a Business User, the courts of Ireland (sitting in Dublin) have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service (including non-contractual disputes or claims).
19.3 Jurisdiction (consumers)
If you are a Consumer, you may bring legal proceedings in the courts of Ireland (including the courts sitting in Dublin) or in the courts of the EU country in which you are habitually resident, in accordance with mandatory applicable consumer protection rules.
Nothing in these Terms limits or removes any rights you may have as a consumer under applicable mandatory laws, including applicable EU consumer protection rules relating to jurisdiction and choice of law.
19.4 Mandatory rights preserved
Where a court of competent jurisdiction determines that mandatory consumer protection rules apply to you, those mandatory rules will apply to the extent required, notwithstanding any other provision in these Terms.
20. General Provisions
20.1 Severability
If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision will be deemed modified to the minimum extent necessary to make it valid and enforceable (where permitted). If it cannot be modified, it will be severed. The remaining provisions will continue in full force and effect.
20.2 No Waiver
If we do not enforce any part of these Terms, that does not mean we waive our right to enforce that (or any other) part later. Any waiver must be in writing and signed by us to be effective.
20.3 Assignment
You may not assign, transfer, or otherwise dispose of any rights or obligations under these Terms without our prior written consent.
We may assign, transfer, subcontract, or otherwise deal with our rights and obligations under these Terms (in whole or in part), including in connection with a reorganisation, merger, acquisition, sale of assets, or similar transaction, provided that doing so does not reduce any mandatory consumer rights you may have under applicable law.
20.4 Entire Agreement
These Terms set out the entire agreement between you and Power Pals regarding your access to and use of the Service and supersede any prior discussions, statements, or agreements relating to that subject matter.
If you are a business user and you have entered into a separate written agreement with us that expressly governs a specific aspect of your use of the Service, that separate agreement will prevail to the extent of any conflict for that specific subject matter.
20.5 Notices and Contact Details
Contacting us. If you need to contact Power Pals about these Terms, you can do so by emailing: privacy@powerpals.ai.
